VoiceDeck Terms of Service

Welcome to VoiceDeck. These Terms of Service (“Terms”) govern your access to and use of VoiceDeck’s website, services, and applications (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using VoiceDeck, you agree to these Terms and our Privacy Policy. If you don’t agree, you may not use the Service.

2. Description of Service

VoiceDeck is an audio project management platform that enables agencies and production teams to:

  • Upload and manage audio files
  • Share audio projects with clients for review
  • Collect timestamped feedback on audio files
  • Manage approval workflows
  • Use AI-powered quality checking features
  • Deliver approved audio files to clients

3. Eligibility

You must be at least 18 years old to use VoiceDeck. By using the Service, you represent that you meet this requirement.

4. Account Registration

4.1 Account Creation

To use VoiceDeck, you must create an account by providing:

  • A valid email address
  • Your name
  • A secure password
  • Organization name (for agency/business accounts)

4.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your password
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use

We are not liable for any loss or damage arising from your failure to protect your account credentials.

4.3 Account Accuracy

You agree to provide accurate, current, and complete information and to update it as necessary to maintain its accuracy.

5. Subscription Plans and Billing

5.1 Subscription Tiers

VoiceDeck offers multiple subscription plans:

  • Free Plan (limited features)
  • Solo Plan ($12/month or $120/year)
  • Studio Plan ($49/month or $468/year)
  • Professional Plan ($99/month or $948/year)
  • Agency Plan ($199/month or $2,028/year)
  • Enterprise Plan (custom pricing)

5.2 Billing

  • Subscriptions are billed monthly or annually based on your selection
  • Annual plans are billed upfront for the full year
  • All fees are in USD unless otherwise specified
  • Payment is processed through Stripe, our payment processor

5.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You authorize us to charge your payment method for renewal fees.

5.4 Price Changes

We may change subscription prices with 30 days’ notice. Price changes apply to subsequent billing periods after notice. Your continued use after the price change constitutes acceptance.

5.5 Refunds

  • Monthly subscriptions: No refunds for partial months
  • Annual subscriptions: Refunds available within 14 days of initial purchase only
  • We reserve the right to issue refunds at our discretion

5.6 Free Trial

Free trials (if offered) are subject to these Terms. We may require payment information to start a trial. You can cancel before the trial ends to avoid charges.

6. AI Credits System

6.1 Credit Allocation

Each subscription plan includes a monthly allocation of AI credits used for AI-powered features (primarily the AI Quality Checker).

6.2 Credit Usage

  • Credits are consumed when using AI features
  • Credit usage varies by file duration (1-10 credits per file)
  • Monthly credit allocations reset on your subscription anniversary date
  • Unused credits do not roll over to the next month

6.3 Running Out of Credits

If you exhaust your monthly credits, you must upgrade to a higher plan to access AI features. Additional credit purchases may be available (post-MVP).

7. Usage Limits

7.1 Plan-Based Limits

Each plan has specific limits including:

  • Number of team members
  • Number of active projects (Free plan only)
  • Storage capacity
  • AI credits per month

7.2 Fair Use

You agree to use the Service in compliance with fair use principles. We reserve the right to limit or suspend service for excessive use that impacts system performance or other users.

7.3 Prohibited Uses

You may not use VoiceDeck to:

  • Violate any laws or regulations
  • Infringe on intellectual property rights
  • Upload malicious code, viruses, or harmful content
  • Harass, abuse, or harm others
  • Impersonate others or misrepresent your affiliation
  • Attempt to gain unauthorized access to our systems
  • Scrape, spider, or crawl the Service
  • Interfere with or disrupt the Service
  • Use the Service for any illegal purpose

8. Content and Intellectual Property

8.1 Your Content

You retain all rights to the audio files and content you upload to VoiceDeck (“Your Content”). By uploading Your Content, you grant us a limited license to:

  • Store, process, and display Your Content as necessary to provide the Service
  • Use Your Content to perform AI analysis (quality checking, transcription)
  • Share Your Content with clients you designate through the Service

This license ends when you delete Your Content or terminate your account, except for:

  • Content shared with others that they’ve retained
  • Backup copies that will be deleted within 90 days

8.2 Ownership of Service

VoiceDeck and its original content, features, and functionality are owned by VoiceDeck and are protected by copyright, trademark, and other intellectual property laws.

8.3 Feedback

If you provide feedback, suggestions, or ideas about VoiceDeck, you grant us the right to use them without compensation or obligation to you.

8.4 AI-Generated Analysis

Results from AI Quality Checker and other AI features are provided as suggestions only. You are responsible for verifying and validating all AI-generated analysis before relying on it.

9.1 Client Access

You may share projects with clients via magic links. Clients do not need to create accounts and do not occupy paid seats.

9.2 Your Responsibility

You are responsible for:

  • Who you share links with
  • The content you share via magic links
  • Revoking links when necessary
  • Any password protection on shared links

9.3 Client Data

When clients access your shared projects, they may provide feedback and personal information (name, email if provided voluntarily). This information is subject to our Privacy Policy.

10. Data and Privacy

10.1 Privacy Policy

Your use of VoiceDeck is also governed by our Privacy Policy, which explains how we collect, use, and protect your data.

10.2 Data Storage

We store your audio files and data on secure cloud infrastructure (Cloudflare R2). While we implement security measures, no system is completely secure.

10.3 Backups

We maintain backups of your data for disaster recovery purposes. Backup retention policies may vary.

11. Team Management

11.1 Team Members

You may add team members to your account based on your subscription plan limits. Team members you add have access to projects based on permissions you assign.

11.2 Owner Responsibilities

The account Owner is responsible for:

  • Managing team member access
  • Ensuring team compliance with these Terms
  • All activities performed by team members
  • Maintaining an accurate payment method

11.3 Removing Team Members

You may remove team members at any time. Removed members lose access immediately but their work history is preserved.

12. Cancellation and Termination

12.1 Cancellation by You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period.

12.2 Effect of Cancellation

Upon cancellation:

  • You retain access until the end of your paid period
  • No refund for the remaining time in your billing period
  • Your account converts to Free plan (if applicable) or becomes read-only
  • You can download your content for 30 days after cancellation

12.3 Termination by Us

We may suspend or terminate your account if:

  • You violate these Terms
  • Your payment fails and is not resolved within 7 days
  • Your use threatens the security or functionality of the Service
  • Required by law

12.4 Effect of Termination

Upon termination:

  • Your access to the Service ends immediately
  • You must cease all use of the Service
  • We may delete your data after 30 days (backup copies may persist up to 90 days)
  • You remain liable for any outstanding fees

12.5 Survival

Sections that should reasonably survive termination will survive, including: payment obligations, intellectual property provisions, disclaimers, limitations of liability, and dispute resolution.

13. Modifications to Service

13.1 Service Changes

We reserve the right to:

  • Modify, suspend, or discontinue any part of the Service
  • Change features, functionality, or limits
  • Update these Terms

13.2 Notice of Changes

We will provide reasonable notice of material changes through:

  • Email notification
  • In-app notification
  • Website announcement

Your continued use after changes constitutes acceptance of the modified Terms.

14. Disclaimers

14.1 “As Is” Service

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Uninterrupted or error-free operation

14.2 AI Features Disclaimer

AI-powered features, including the AI Quality Checker, are provided as tools to assist your workflow. Results are not guaranteed to be accurate or complete. You are responsible for verifying all AI analysis before relying on it.

14.3 Third-Party Services

We use third-party services (payment processing, cloud storage, AI providers). We are not responsible for these third-party services’ performance, availability, or security.

14.4 No Professional Advice

VoiceDeck does not provide professional advice. The Service is a tool for audio project management, not a substitute for professional judgment in audio production or quality assurance.

15. Limitation of Liability

15.1 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

15.2 Excluded Damages

WE SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Costs of procurement of substitute services
  • Any damages arising from your use or inability to use the Service

15.3 Data Loss

While we implement backups and security measures, we are not liable for any data loss. You are responsible for maintaining your own backups of important content.

16. Indemnification

You agree to indemnify, defend, and hold harmless VoiceDeck, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Service
  • Your Content uploaded to the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Actions of your team members

17. Dispute Resolution

17.1 Governing Law

These Terms are governed by the laws of [Jurisdiction - To Be Determined], without regard to conflict of law principles.

17.2 Arbitration

Any dispute arising from these Terms or the Service shall be resolved through binding arbitration, except:

  • Small claims court actions
  • Injunctive relief for intellectual property infringement

You agree to resolve disputes individually and waive any right to participate in class actions or class arbitrations.

18. General Provisions

18.1 Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and VoiceDeck regarding the Service.

18.2 Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force and effect.

18.3 Waiver

Our failure to enforce any provision does not constitute a waiver of that provision or any other provision.

18.4 Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms without restriction.

18.5 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control, including natural disasters, acts of government, labor disputes, or internet outages.

18.6 Export Compliance

You agree to comply with all export laws and restrictions and not export or re-export the Service to prohibited countries or individuals.

18.7 No Agency

These Terms do not create any agency, partnership, or joint venture between you and VoiceDeck.
